To start with your Pty Ltd, click here to start with your company registration. You will be taken through the 3 steps of the application process, which we will explain below:

Step 1: Apply online. You will start by customizing your package and tell us exactly what services and products you require. After you have customized your order, you will be able to complete the information forms (business information and director information).

Step 2: We will send you an email to confirm we have received your application, and there will also be a quotation attached to the email with our banking details. Process a payment (we accept EFT’s, ATM cash deposits and online payments) and send the proof of payment accompanied by ID copies for each director to info@sa-companyregistrations.co.za

Step 3: We take over from here. We will apply for your registration and will send a document which each director will have to sign (we will also send a link to an app if you do not have a printer / scanner, to sign electronically). After we have received your signed document back, you can expect to receive your CIPC registration number in 8 hours or less.

8 Hours or less when you register through us: For our standard packages, we will ensure that you receive your registration documents as well as relevant additional documents on your order within a timeframe of 8 hours and less after we have received your proof of payment and the necessary documents we require from you.

Please note: in rare instances, where your preferred name does not meet CIPC’s approval, the name reservation step might take a bit longer, however we will communicate with you with regards to the name reservation before lodging the application if we pick up similar names on the CIPC (companies registrar) database, as to ensure the process is finalized within set timeframe.

From the application forms that you complete online, we will receive all the required information to register your business as a Pty Ltd. This includes:

  1. Company physical and postal address
  2. Company email address and phone number
  3. Company name (up to 4 names accepted)
  4. Director(s) / owner(s) contact details
  5. Director(s) physical and postal address
  6. Director(s) shareholding percentages

Apart from us requiring certified copies of each director’s ID document (sent to our email address), the process is entirely paperless and 100% online.

The requirements to register is:

  1. A valid South African ID book or Smart Card, or passport document (each director). Certified and not older than 3 months
  2. South African residential address for each director
  3. South African physical address for the company.

Supply us with up to 4 unique names, in the order of your preference and CIPC will test the names starting from number 1 to 4, against their database of registered entity names. The first available name on the list will be reserved for you to use.

Companies who do not file a name reservation gets an enterprise number + the words (South Africa) (Pty) Ltd. For example, if you register a PTY Ltd without the name reservation, the name will be “K2017302651 (South Africa) (Pty) Ltd”.

Although a name reservation is not required, it does look more professional to have an official name.

Regarding name reservation applications: the minimum allowed is 1 name, and the maximum allowed is 4 names. Try to submit up to 4 names with each application, as it will save you time if an application gets rejected due to disallowed names.

What documents will I receive after I have registered?

You will receive the following documents:

  • COR14.1 – Notice of company incorporation
  • COR14.1A – Incorporator details certificate
  • COR14.3 Registration certificate
  • COR15.1 Memorandum of incorporation
  • CIPC “welcome letter”
  • SARS Notice of income tax registration
  • B-BBEE compliance affidavit (applicable to packages 2 and 3)
  • Shareholder’s share certificate(s) (applicable to packages 2 and 3)

The minimum amount of directors required to register is as follows:

  • Pty Ltd companies: 1 director
  • Non-profit companies: 3 directors

The maximum amount of directors allowed: 10

Pty Ltd: Most commonly registered type of company. Register a Pty Ltd company if the aim of your company is to make a profit from the products or services you are selling, in other words, for the benefit of the owners of the company.

Non-profit organization: These companies are incorporated for public benefit, for example: schools, churches, charities etc. The main purpose of these companies are not to make profits, but to contribute to society in one way or another. These companies cannot be registered with less than three directors.

Yes, CIPC (the registrar of companies – companies and intellectual properties commission) companies act requires you to declare (annually) that your private company is still open and you intend to keep your company open (even if you have not yet started trading). Failure to declare that you intend to keep the open / registered for a period for more than 2 successive years will result in deregistration of your company. You can apply for the reinstatement of your company, however this is a long and expensive process and CIPC will only reinstate your company in certain instances.

The annual amounts payable for Pty Ltd companies is shown below:

There is also penalties applicable for filing annual returns more than 30 business days late (annual returns are due on the anniversary date of your company registration). Penalty amounts is shown below:

These fees are payable directly to CIPC, however we can assist you with these returns and we will let you know whenever there are fees payable to CIPC.

After your company registration is finalized, and you have opted to open an FNB business account, we will send your company registration documents as well as your contact details to the FNB contact center for new business accounts. They will phone you and telephonically enter an agreement with you, after which your business account will be opened.

The process takes about 5 minutes.
Your business bank card will be couriered to your closest branch for collection.
